Mike Maddox has been appointed to the board of directors at Ontario-based CVB Financial Corp and its bank.
Maddox is now a director of CVBF and has also been appointed to the Board of Directors of Citizens Business Bank, according to a release. With Maddox, the number of board members for both CVBF and CBB increased from 10 to 11.
“I am honored to join the boards and to work alongside a respected leadership team,” Maddox said in the release. “I look forward to contributing to the company’s continued growth and supporting its strong commitment to clients, shareholders and the communities it serves.”
Maddox was formerly the president and vice chairman of First Busey Corporation and president and CEO of the Busey Bank. Maddox was set to assume the role of CEO of First Busey Corporation as part of its $917 million acquisition of CrossFirst Bankshares Inc. In January, Maddox separated from First Busey.
As part of the announcement of Maddox’s departure, the company said its chairman and CEO of First Busey, Van Dukeman, would serve at least two years or more as president of First Busey and CEO of Busey Bank. Last month, First Busey extended Dukeman’s term as CEO for an additional three years through July 1, 2029.
Now on the CVBF and CBB board, Maddox will be paid a $77,000 annual director fee and receive an initial grant of shares of restricted stock of the company at a pre-established value of $85,000, according to a Securities and Exchange Commission filing.
“We are pleased to welcome Mr. Maddox to the Boards of CVBF and Citizens Business Bank,” George Borba Jr., Chairman of the Boards for CVBF and the Bank. “Mr. Maddox brings a highly relevant combination of public company CEO leadership, board governance expertise, capital markets experience and extensive knowledge of the banking sector, all of which aligns closely with the Bank’s long-term strategic objectives.”
CVBF is headquartered in Ontario, California, and operates with over $20 billion in total assets. CBB operates with more than 75 banking centers and three trust office locations across California.
